Property held for decades needs a plan, not just a deed

Bonita's larger parcels and long tenured family businesses raise questions most commercial transactions never touch. Who inherits, how an interest transfers, what the zoning and the easements actually permit, and how to move an asset without triggering a problem.

Bonita

Business and real estate counsel for Bonita

Bonita sits in the Sweetwater Valley as an unincorporated community with a distinctly rural character and unusually stable ownership. Equestrian and larger residential parcels, small professional and service businesses along Bonita Road, and family enterprises that have operated in the same place across more than one generation.

That stability changes the legal questions. Instead of a founder forming a first entity, the conversation is often about how a property held for forty years should be structured now, how to bring the next generation in without creating a tax problem, or what an old recorded easement actually permits on land that is being looked at differently than it was when it was acquired.

What I See Here

The issues that come up most in Bonita

Larger unincorporated parcels bring issues that in city lots rarely do: easements and access rights recorded generations ago, well and water questions, agricultural and equestrian use provisions, septic and utility considerations, and county rather than city permitting. When these properties change hands or move into a family entity, the recorded history matters as much as the current condition. Family businesses here also face succession questions that most owners postpone until a health event or a disagreement forces the conversation on someone else's schedule.

Have Your Documents Reviewed

  • Entity and holding structures for long held family property
  • Recorded easement, access, and boundary analysis on larger parcels
  • Business succession and generational transfer planning documents
  • Purchase and sale of unincorporated county parcels
  • Agricultural, equestrian, and rural use restriction review
  • Buy sell agreements among family owners
  • Seller carryback notes and purchase money financing documents
  • Commercial leases along the Bonita Road corridor

How It Works

Four steps, no mystery

The same process for every Bonita client, with the scope and the cost settled before any work begins.

The free consultation

Describe the Bonita matter in plain terms. There is no charge and no obligation, and you are speaking with the attorney rather than an intake screener. If you do not need a lawyer yet, I will say so.

Scope and cost agreed

Before work begins you get a clear description of what I will do and what it will cost. Defined work such as a formation or a document review is commonly handled on a flat fee.

The work gets done

Documents drafted, reviewed, redlined, negotiated, and filed, with plain language explanations of what each provision means for your business.

A relationship that continues

Most Bonita clients come back for the next lease, the next hire, and eventually the exit. Knowing your history is what makes the second matter faster than the first.

Straight Answers

Bonita questions I hear most

Ask Your Own Question

We have owned this property for decades. Should it be held in an entity?
Frequently yes, particularly if there is more than one property, if the property generates income, or if more than one family member will eventually hold an interest. Entity ownership can separate liability, make transfers cleaner, and simplify succession. It also carries costs and can create tax consequences depending on how the transfer is done, so it is a conversation to have with your attorney and your CPA together before anything moves.
There is an old easement on our Bonita parcel. Does it still apply?
Usually yes. Recorded easements generally run with the land and survive changes in ownership, sometimes for many decades. What matters is the exact recorded language: what it permits, who holds the benefit, how wide it is, and whether it has been abandoned or modified by later recorded documents. Reading the actual instrument rather than the title summary is the only reliable way to know.
How do we bring the next generation into the family business?
Deliberately, and in writing. Decide what ownership actually transfers versus what management transfers, because they are not the same. Put a buy sell agreement in place governing what happens on death, disability, divorce, or a decision to exit. Document how an interest is valued. Families that handle this in advance stay families. Those that leave it to be sorted out later frequently do not.
