What should I watch in an industrial lease here?
The maintenance and repair definition, because triple net frequently means you carry roof and HVAC on a building you do not own. Then permitted use written broadly enough to cover how you will actually operate, hours of operation, truck and loading access, floor load and power capacity, and any restoration obligation requiring you to remove improvements at the end of the term. Restoration clauses surprise industrial tenants more than any other provision.
Why are beverage distribution agreements so hard to exit?
Because the relationship between producers and distributors is regulated, and in many circumstances a producer cannot simply terminate and move to another distributor without meeting specific requirements. That makes the initial agreement unusually important: territory definition, performance standards, term, and the exit provisions deserve real attention before signing, because the leverage afterward is limited.
The equipment lender wants a personal guaranty. Is that negotiable?
Sometimes in scope, less often in existence. Look at whether the guaranty is limited to that specific obligation or is a continuing guaranty covering future financings, whether there is a cross default tying it to unrelated obligations, and whether it can be released once a payment history is established. A continuing guaranty with a cross default is a much larger commitment than most owners realize they are making.
