What should a brewery review before signing with a distributor?
Territory definition, performance and volume expectations, the term, and above all the exit provisions, because distribution relationships in this industry are regulated and frequently very difficult to terminate. Also address brand ownership and marketing control, pricing authority, and what happens to inventory and point of sale materials if the relationship ends. Negotiate carefully at the start, because the leverage afterward is limited.
What is a restoration clause and why does it matter in an industrial lease?
It requires you to return the space to its original condition at the end of the term, removing improvements you paid to install. For a production tenant who added floor drains, upgraded power, installed tanks, or built out a tasting room, that obligation can run into six figures. Negotiate it at signing: exclude specific improvements, cap the cost, or get landlord acknowledgment that the improvements can remain.
The equipment lender wants a continuing guaranty. What does that mean?
That the guaranty covers not just this financing but future obligations to the same lender, and frequently includes a cross default so a problem on one contract triggers default on all of them. It is a much broader commitment than guaranteeing a single piece of equipment. Ask for it to be limited to the specific transaction, and ask what it takes to obtain a release once you have established payment history.
